1. Acceptance of Terms
By accessing or using Always On Call AI ("the Service"), operated by Always On Call AI, a product of GenX Tech Solutions, Inc. ("we," "us," "our"), you agree to these Terms of Service. If you do not agree, do not use the Service.
2. Description of Service
Always On Call AI provides AI-powered receptionist services including website chat, SMS auto-reply, missed-call text-back, lead capture, and related features for small businesses in the trades industry. The Service operates on behalf of subscribing businesses ("Clients") to assist their customers ("End Users") with inquiries.
3. Accounts & Onboarding
You must provide accurate and complete business information during onboarding, including your business name, phone number, email, service area, hours, and services offered. You are responsible for keeping this information current. Inaccurate business information may result in the AI providing incorrect or misleading responses to your customers — that is your responsibility, not ours.
You must be at least 18 years old and legally authorized to enter into contracts on behalf of the business you register. You are responsible for maintaining the security of your account credentials.
4. SMS Messaging & TCPA Compliance
The Service sends automated SMS messages on your behalf to individuals who contact your business via phone or chat. By subscribing, you represent and warrant that:
- You have obtained or will obtain all necessary consents required under the Telephone Consumer Protection Act (TCPA) and applicable state laws before sending automated messages to your customers.
- You will not use the Service to send unsolicited messages, spam, or messages to individuals who have opted out.
- You will honor opt-out requests promptly. End Users who reply STOP to any SMS will be excluded from future automated messages.
- You are the operator of record for any telephone numbers used with the Service and are responsible for compliance with all carrier and regulatory requirements.
We are not liable for your failure to comply with TCPA or any other messaging law. Any fines, penalties, or legal claims arising from your SMS usage are your sole responsibility.
5. AI-Generated Responses
The Service uses artificial intelligence to generate responses on your behalf. You acknowledge that:
- AI responses may occasionally contain errors, inaccuracies, or outdated information.
- The AI will not provide exact pricing quotes, guaranteed arrival times, or dispatch commitments unless explicitly configured by you.
- You are responsible for reviewing lead information and following up with customers. The Service captures leads; it does not guarantee bookings, conversions, or revenue.
- We are not liable for business decisions made based on AI-generated content, or for missed leads due to service interruptions, configuration errors, or incorrect business information.
6. Billing & Cancellation
All plans are billed monthly. You may cancel at any time from your dashboard. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial months. Free trials do not require a credit card; billing begins only when you select a paid plan.
We reserve the right to modify pricing with 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.
7. Acceptable Use
You agree not to use the Service to: send spam or unsolicited messages; misrepresent your business or impersonate another entity; violate any applicable laws or regulations; transmit malicious code or interfere with the operation of the Service; or use the Service for any purpose other than legitimate business lead capture and customer communication.
8. Data & Privacy
Your use of the Service is also governed by our Privacy Policy. We process customer conversations to provide the Service. We do not sell your data or your customers' data to third parties.
9. Limitation of Liability
To the maximum extent permitted by law, Always On Call AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost revenue, lost leads, loss of business opportunity, or reputational harm, arising from your use of or inability to use the Service.
Our total cumulative liability for any claims arising under these Terms shall not exceed the total fees you paid us in the three (3) months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless Always On Call AI and its operators from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: your use of the Service; your violation of these Terms; your violation of any applicable law; or any claim by a third party relating to SMS messages sent by the Service on your behalf.
11. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that AI responses will be accurate, complete, or suitable for your purposes.
12. Modifications
We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance of the updated Terms.
13. Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes shall be resolved in the courts of New York.
