Client Service Agreement

This Client Service Agreement ("Agreement") is between Always On Call AI ("Provider") and the subscribing business ("Client"). By completing onboarding and activating a paid subscription, Client agrees to this Agreement.
1. Services Provided
Provider will supply Client with access to the Always On Call AI platform, which includes:
- An AI-powered chat widget for Client's hosted or external website
- Automated SMS responses to inbound text messages
- Missed-call text-back (where Twilio is configured)
- Lead capture and conversation logging
- Email notifications to Client when new leads are captured
- A client dashboard for reviewing leads, conversations, and account settings
Services are provided as described on the pricing page and may vary by plan. Provider reserves the right to modify features with reasonable notice.
2. Client Responsibilities
Client is solely responsible for:
- Accuracy of business information. Client must provide and maintain accurate business name, phone number, hours, services, service area, and any other information used to configure the AI. Provider is not liable for incorrect or misleading AI responses caused by inaccurate Client-provided data.
- TCPA and SMS compliance. Client must ensure all automated SMS messaging complies with the Telephone Consumer Protection Act and applicable state laws, including obtaining any required customer consents prior to sending automated messages.
- Following up with leads. The Service captures leads; Client is responsible for responding to, qualifying, and converting those leads. Provider makes no guarantee of lead quality, volume, or conversion.
- Customer service and field operations. Provider's AI handles initial contact only. All job scheduling, dispatching, pricing, warranties, and service delivery are entirely Client's responsibility.
- Licensing and professional compliance. Client represents that it holds all required licenses, insurance, and certifications to operate its trade business and will not use the Service in any way that misrepresents its credentials.
3. No Guarantee of Results
Provider does not guarantee any specific number of leads, bookings, revenue, or business outcomes. The Service is a communication and lead capture tool. Results depend on factors outside Provider's control, including Client's market, responsiveness, pricing, and service quality.
4. Billing & Payment
Subscription fees are billed monthly in advance. Client authorizes Provider to charge the payment method on file for recurring monthly fees. Failure to pay may result in service suspension. No refunds are issued for partial months or unused service periods.
Client may cancel at any time via the dashboard. Cancellation takes effect at the end of the current billing period. Provider may modify pricing with 30 days' advance notice.
5. Limitation of Liability
To the maximum extent permitted by applicable law:
- Provider's total liability to Client for any claims arising under this Agreement shall not exceed the total fees paid by Client to Provider in the three (3) months preceding the claim.
- Provider shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost revenue, lost profits, missed leads, or reputational harm.
- Provider is not liable for service interruptions caused by third-party providers (OpenAI, Twilio, Stripe, Netlify, etc.), acts of God, or circumstances beyond Provider's reasonable control.
6. Indemnification
Client agrees to indemnify and hold harmless Provider and its operators from any claims, losses, damages, or expenses (including attorneys' fees) arising from: Client's use of the Service; Client's violation of this Agreement or applicable law; any TCPA or messaging compliance violations by Client; or any claim by a third party relating to Client's business operations or the content of AI responses configured by Client.
7. Confidentiality
Each party agrees to keep the other's non-public business information confidential and not to disclose it to third parties without consent, except as required by law or necessary to provide the Service.
8. Termination
Either party may terminate this Agreement at any time. Client may cancel via the dashboard; Provider may suspend or terminate accounts that violate this Agreement, fail to pay, or engage in prohibited use. Upon termination, Client data is retained for 90 days then permanently deleted, unless an earlier deletion is requested.
9. Dispute Resolution
The parties agree to attempt to resolve disputes informally before pursuing legal action. This Agreement is governed by the laws of the State of New York. Any unresolved disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association, with proceedings in New York.
10. Entire Agreement
This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between the parties regarding the Service and supersedes any prior agreements or understandings.
